Creately’s Affiliate Program
Terms & Conditions
This Agreement sets forth the Terms and Conditions for the Affiliate Program of Cinergix Pty. Ltd. You or Your Company agree to be bound by these Affiliate Program rules by accepting these Terms and Conditions.
Definitions:
"influencer", “Participant,” “Referrer,” “Affiliate,” “You,” “Your,” and “Yours” means a Company or Individual who applies and is approved to participate in Creately’s Affiliate Program.
“Creately,” “Us,” “We,” “Our,” and “Ours” means Cinergix Pty. Ltd
“Referral” or “Referrals” "Customer" means anyone You refer to Creately through Your Partner Badge or Invitation Link.
“Paying Customer” means Your Referral has converted their Free Trial of Creately’s services into a Verified Paid Account with Creately.
“Referrer Payments” means any money that Creately owes Participants for referring Paying Customers which will be paid by direct deposit each month.
“Affiliate Link,” or “Invitation Link” means a Creately Link to be placed by You on Your website that is embedded with a code unique assigned to you designed to track new Creately customers referred by You.
“Tolt” is the system where the Affiliate Program is set up, Referral Payment Emails, Notifications, Invitation Links, etc.
Agreed Upon Terms: As a Participant in Creately’s Affiliate Program, You agree to attempt to send first-time customer Referrals to Creately from time to time. Participants earn Referral Payments after their Referrals successfully sign up as paying Creately customers and stay more than a month (31 Days). Creately agrees to make monthly Referral Payments to Affiliate Program Participants for Referrals that result in an active, ongoing, Paying Customer for Creately.
As a Partner, you acknowledge and agree to the terms and conditions of Creately. Referral Payments are notified via email by Tolt. Each Participant’s Royalty Payment is based on their number of successful Referrals. Referral Payments will be made directly to an account you provide, less any fees that Creately is required to withhold by law. All guidelines for Affiliate Program participation will be emailed to you.
Termination: This Agreement ends at any time when terminated by either party, with or without cause, and with or without notice to either party. Upon termination of this Agreement, all licenses granted herein shall terminate; You must immediately remove any Creately Affiliate Program Links and Creately Brand Features from Your website; Creately will pay any accrued Referral Payments; the remaining Terms and Conditions of this Agreement will survive.
Modification: At any time and in Creately’s sole discretion, Creately may modify any of the terms and conditions contained in this Agreement. Referrer’s continued participation in the program following Creately’s posting of a new agreement constitutes binding acceptance of the Modification.
Limitation of Liability: Under no circumstances will Creately be liable in tort, contract, or otherwise for indirect, incidental, consequential, special, or exemplary damages arising from any provision of this Agreement or from the Affiliate Program. Participants are responsible for any and all tax liability and must indemnify and hold Creately harmless from any and all claims, damages, and expenses (including, without limitation, attorneys’ fees).
Reservation of Rights: Creately reserves all rights other than those expressly granted in these Terms and Conditions and grants no license except as expressly set forth herein. Creately retains all right, title, and interest in and to the Creately Brand Features and the Creately Site, together with all Intellectual Property Rights.
Publicity: You may not create, publish, or distribute any original promotional images or material that makes reference to Creately, aside from the Invitation Links, or other official advertisements, that are given by us, without first submitting such material to Creately and receiving written consent from Creately.
Relationship of Parties: You and Creately are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship, or the relationship of principal and agent between the parties.
Entire Agreement: This Agreement sets forth the entire Agreement of the parties as it relates to the Service and supersedes all other oral or written agreements governing your use of the Service.
